Acceptance of Terms

By accessing and using the services provided by Univex B.V. ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services. These terms constitute a legally binding agreement between you and Univex.

Description of Services

Univex provides professional management consulting services including strategic planning, process optimisation, change management, and performance improvement. Our services are delivered through various engagement models including consulting projects, advisory services, training programmes, and ongoing support arrangements. Specific service details, deliverables, and timelines will be outlined in separate service agreements or statements of work.

Client Responsibilities and Obligations

As a client of Univex, you agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Cooperate with our team and provide reasonable access to personnel and systems
  • Make timely payments according to agreed payment terms
  • Comply with all applicable laws and regulations
  • Maintain confidentiality of proprietary methodologies and materials
  • Use our services only for lawful business purposes

Payment Terms and Conditions

Payment terms will be specified in individual service agreements. Generally, payments are due within 30 days of invoice date unless otherwise agreed. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Univex reserves the right to suspend services for overdue accounts and may require advance payment or payment guarantees for continued service delivery.

Intellectual Property Rights

All intellectual property rights in methodologies, frameworks, templates, and other materials developed or provided by Univex remain the exclusive property of Univex. Clients receive a limited, non-exclusive license to use such materials solely for their internal business purposes. Any work products specifically created for the client under a consulting engagement will be jointly owned, with Univex retaining rights to use general knowledge, skills, and experience gained during the engagement for future client work.

Confidentiality and Non-Disclosure

Both parties acknowledge that confidential information may be shared during the course of the engagement. Univex agrees to maintain the confidentiality of client information and not to disclose such information to third parties without prior written consent, except as required by law. Similarly, clients agree to maintain confidentiality of Univex's proprietary methodologies, business practices, and other confidential information.

Limitation of Liability

To the maximum extent permitted by law, Univex's total liability for any claims arising out of or related to these terms or our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim. In no event shall Univex be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the theory of liability.

Professional Standards and Disclaimers

Univex provides consulting services based on professional judgment, industry best practices, and available information. While we strive for accuracy and effectiveness, we cannot guarantee specific business outcomes or results. Our recommendations are advisory in nature, and implementation decisions remain with the client. Clients acknowledge that business consulting involves inherent risks and uncertainties.

Termination of Services

Either party may terminate services with written notice as specified in the relevant service agreement. In the absence of specific termination provisions, either party may terminate with 30 days written notice. Upon termination, the client remains liable for all services performed and expenses incurred up to the termination date. Univex will return or destroy client confidential information as requested, subject to legal retention requirements.

Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or pandemic-related restrictions. In such cases, performance obligations will be suspended for the duration of the force majeure event.

Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising out of or relating to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Breda, Netherlands. The parties agree to attempt to resolve any disputes through good faith negotiations before pursuing legal action.

Data Protection and Privacy

Univex is committed to protecting personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable privacy laws. Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms part of these terms. Clients consent to the processing of personal data necessary for service delivery and business operations.

Modifications and Updates

Univex reserves the right to modify these Terms of Service at any time. Material changes will be communicated to clients with reasonable advance notice. Continued use of our services after such modifications constitutes acceptance of the updated terms. For ongoing engagements, significant changes may require mutual agreement through contract amendments.

Severability and Entire Agreement

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. These Terms of Service, together with any executed service agreements and our Privacy Policy, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior negotiations, representations, or agreements.

These terms are effective as of the last updated date and remain in effect until modified or superseded by new terms.
